Natixis Partners advised the Nomotech Group on the financing of the acquisition of the VoIP Telecom Group

Nomotech Group, a fast-growing BtoB telecom operator, has acquired VoIP Telecom from Groupe Chevrillon and Idi. This acquisition was made possible by the entry into the capital of Kartesia, a European specialist in debt and capital solutions for small and medium-sized enterprises, as a reference financial partner and minority shareholder. Management has reinvested heavily in this operation whose ambition is to accelerate the growth of the group in particular via (i) a sustained buy-and-build strategy, already initiated by Nomotech’s Management since 2021; and (ii) the expansion of the telecom & IT services offer and better coverage of the French territory. Created in 2003, Nomotech is an operator committed to the digitization of companies and the digital equality of territories for 20 years. Nomotech is historically known for its positioning as a high-speed radio infrastructure operator in rural areas. The Group diversified into BtoB telecom operator services with the acquisition of independent BtoB operator Kertel in June 2022. Founded in 2012 by William Binet, VoIP Telecom has experienced strong revenue growth with 8 acquisitions over the last 7 years and the launch of its white label offering Voice Manager with a network of nearly 400 resellers. Today, VoIP Telecom is an alternative BtoB telecom operator of reference in France and supports more than 10,000 customers (SMEs, key accounts, local authorities and administrations) in their digital transformation. The group specializes in connectivity and network technologies, unified communications and collaborative work, cybersecurity and cloud hosting. The merger of Nomotech and VoIP Telecom, to become Stelogy, will be value and business accretive by enabling the Group to (i) extend its geographical coverage; (ii) broaden its services offering to better serve its VSE and SME customers; and (iii) generate significant commercial synergies based on the strong business complementarities between the two companies including, expertise, infrastructure, etc.. The new entity will have combined sales exceeding €100m, making it one of the top 10 BtoB telecom operators in France. This transaction is in line with the Group’s strategy. In June 2022, Nomotech notably completed the acquisition of two independent telecom operators that enabled it to accelerate its transformation from a telecom infrastructure operator to a telecom services operator through the acquisition of (i) Kertel, a telecom operator serving VSEs/SMEs; and (ii) Voxity, a BtoB telecom solutions integrator specializing in the business of figures, law and real estate. Natixis Partners advised the Nomotech Group on the raising of a bank financing in addition to the contribution of funds from Kartesia.
